Terms of Service

1. What the service is

We screen car buyers, book them into an appointment at your store, and deliver that appointment to you. You buy appointments, not leads. We do not sell vehicles, arrange financing, or act as your agent in any transaction with a buyer. Nothing here is a promise of sales, close rates, or a delivery pace.

2. Accounts and access

Each person at your dealership gets their own login. You are responsible for who you invite, what they do in the portal, and keeping credentials private. Access levels inside a dealership are Dealer Owner, Dealer Manager, and Dealer User. Tell us right away if an account should be shut off.

Appointments do not route to you until onboarding is complete: dealership information, plan selection, a signed agreement, a card on file, portal login, and our approval.

3. Appointment credits

• Credits are the unit of service. One billable appointment consumes one credit.
• Your balance is the sum of your credit ledger, which is permanent and append-only. Corrections are posted as new offsetting entries, never edits.
• Credits are added only after your payment is confirmed by our payment processor.
• Credits are nonrefundable except to correct a billing error on our side.
• Credits do not expire while your account is current. Your balance is capped at 150 — a renewal deposits only what fits under the cap and bills only for that.
• A request for appointments sets a maximum you are willing to receive. It is not a guaranteed minimum and not a pace commitment.

4. When an appointment is billable

One credit is consumed when:

• the buyer physically shows — confirmed by the buyer or by your store, either one alone is enough;
• contact from your dealership before the appointment caused it not to happen as booked (the buyer was denied, discouraged, redirected, or your store took the appointment over); or
• your store canceled after its decline window closed.

No credit is consumed for:

• a true no-show your store did not cause;
• a routine confirmation call to the buyer;
• a decline made inside your decline window; or
• any error on our side.

Your decline window is half the notice we gave you, capped at 12 hours before the appointment time. If we give you under an hour of notice, tell us before the buyer arrives and the appointment is rescheduled at no charge.

5. Statements and disputes

We issue statements of delivered appointments in the portal. You have 24 hours from a statement to approve it or dispute individual lines; Saturday activity reconciles Monday. A statement not disputed inside that window is final and settles automatically, and the credits on it leave your balance at settlement.

We review disputes line by line on the documented evidence attached to each appointment. You may file the original dispute and up to two appeals. Our determination, made in good faith on that evidence, is final and binding.

6. Payment

Plan and trial pricing is shown on the Plans page and in your signed agreement. Payments are handled by our payment processor. We never see or store your full card number — only the processor's tokens and identifiers.

If a payment fails, appointments already booked are still delivered, but new releases and bookings stop until the account is current and your credits are frozen rather than lost. After 90 days of nonpayment, credits expire.

7. Cancellation

Either side may cancel with 30 days' written notice. On a clean cancellation with the account paid up, remaining credits stay usable for 90 days after the cancellation takes effect and expire after that. We may suspend or close an account for nonpayment, abuse of buyers, or misuse of the portal.

8. Your obligations to buyers

Buyers are real people who agreed to meet with your store. You will honor the appointment as booked, treat buyer information as confidential, use it only to work that customer, and follow all laws that apply to you — including advertising, credit, privacy, and consumer-protection rules, and the FTC Safeguards Rule where it applies to your dealership. Do not resell, share, or export buyer information to third parties.

9. Electronic records and signatures

You agree that agreements signed in the portal, and the records and audit trail we keep of them, are valid and enforceable electronic records under the Texas Uniform Electronic Transactions Act and the federal ESIGN Act. A signed agreement is frozen: changes are made by a new amendment signed the same way.

10. Service availability and limits of liability

The portal is provided as-is. We do not warrant uninterrupted or error-free operation, and we disclaim implied warranties to the extent the law allows. We are not liable for indirect, incidental, or consequential damages, or for lost profits. Our total liability for any claim is limited to the amounts you paid us in the three months before the claim arose. Nothing here limits liability that cannot be limited by law.

11. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new "last updated" date and, where the change affects billing or credits, surfaced in the portal. Continuing to use the service after a change means you accept it.

12. Governing law and contact

These Terms are governed by the laws of the State of Texas, and the courts serving Dallas County, Texas have exclusive jurisdiction over any dispute about them.
